End User License Agreement

Subject to the terms of this Agreement and payment of applicable licence fees, Bizora grants you a limited, non-exclusive, non-transferable, non-sublicensable, perpetual licence to:

• Install and use the Software on computers you own or control, up to the number of installations permitted by your edition
• Use the Software solely for your own internal business operations
• Make one archival backup copy, provided it retains all proprietary notices contained in the original

This licence is limited to one legal entity per licence key. Each separate company, subsidiary, or business unit requires its own licence unless otherwise agreed in writing.

Bizora ERP is available in three editions — Starter, Professional, and Enterprise. Each edition grants access to a different set of users and legal entities as described on the editions section at bizoraerp.com. Your licence key encodes which edition you are licensed to use. You may not use features or capacity of a higher edition than the one for which you hold a valid licence.

This EULA grants no rights other than those expressly stated. You agree not to:

• Reverse engineer — decompile, disassemble, or otherwise attempt to derive the Software's source code
• Modify — translate, adapt, or create derivative works based on the Software
• Distribute — sell, sublicense, rent, lease, lend, or otherwise transfer the Software or your licence to any third party
• Circumvent licensing — bypass, disable, or tamper with any licence validation or security mechanism
• Use for competitive purposes — use the Software to develop a competing product or service
• Remove notices — remove, alter, or obscure any copyright, trademark, or proprietary notices

The Software, including all copies and portions thereof, is owned by Bizora Technologies (Pvt) Ltd and is protected by the copyright laws of Pakistan and applicable international treaties. Bizora retains all intellectual property rights in and to the Software, including source code, algorithms, user-interface design, databases, and documentation.

This EULA grants you no ownership interest in the Software — only the right to use it in accordance with this Agreement. All rights not expressly granted are reserved by Bizora.

You retain full ownership of all business data you enter, import, or generate using the Software. Bizora claims no rights to your data and never receives it — your records live locally on your own device. You are solely responsible for the accuracy, legality, and backup of your data, using the Software's built-in encrypted backup functionality or other means.

Bizora may make updates to the Software available. Updates are governed by this EULA unless a separate agreement is provided. Update delivery commitments are described in the Service Level Agreement at bizoraerp.com/sla.

Upgrading from one edition to a higher edition requires purchase of the higher edition licence. Your existing data migrates automatically when upgrading.

If you are using Bizora ERP under the free evaluation, this EULA applies during the evaluation period. The evaluation period is 14 calendar days from first launch, with no licence fee due and no credit card required. All data entered during the evaluation is fully preserved upon purchasing a licence. One evaluation per legal entity.

This EULA is effective until terminated. It terminates automatically, without notice, if you fail to comply with any provision. You may also terminate it by uninstalling all copies of the Software. Upon termination:

• All rights granted under this EULA immediately cease
• You must uninstall and destroy all copies of the Software
• Provisions that by their nature should survive (Sections 4, 9, 10) continue in force

Termination does not affect your right to retain and use your own business data, which is stored locally on your device.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. BIZORA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE PAKISTANI LAW, IN NO EVENT SHALL BIZORA TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL — EVEN IF ADVISED OF THE POSSIBILITY. BIZORA'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE LICENCE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to comply with all applicable export laws and regulations. This EULA is governed by the laws of the Islamic Republic of Pakistan, and any dispute is subject to the exclusive jurisdiction of the courts of Lahore, Pakistan. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
